ENCOREPLAY.COM AND MOVIEPLEX.COM ASSOCIATED WITH THE SERVICES (“SITES”
); AND (3) interactive features or downloads that are MADE available through OR
INTERACT WITH the Services OR SITES (“FEATURES”).
By UsING THE SERVICES, SITES AND FEATURES YOU ARE UNCONDITIONALLY

OF RIGHTS; RESTRICTIONS. Starz hereby grants you a limited,
non-exclusive, non-transferable license to access, use and privately display or
exhibit the Services, Sites, Content (as defined in Section 3) and
Features, solely within the
Service Area, in accordance with the Terms of Use. Starz grants you this limited license
for your personal use only, and not for any commercial purpose. The use of the Services, Sites, Content or
Features for commercial purposes is unauthorized and may constitute
infringement. This license
does not include any rights to: (1) sell, resell, lend, lease, rent or
otherwise commercially use the Services, Sites, Content or Features or any
other material or information contained therein; (2) collect or use any information,

information (including: images, text, page layout, or form) of Starz and/or its
affiliates or subsidiaries or Content providers without Starz' express written
consent. You may not use any meta-tags or any other "hidden text"
utilizing the name of the Services, Sites, Content, Features, Starz and/or its
affiliates, subsidiaries or Content providers, or any tradenames
or trademarks or other copyrighted materials relating thereto, without the
express written consent of Starz.
3. INTELLECTUAL
PROPERTY.
(a) As
between you and Starz, the Services, Sites, Content and Features are owned by
Starz and/or its licensors and content and technology providers, and are
protected by applicable domestic and international copyright laws. As used
herein, “Content” means: (1) any and
all motion pictures, images, animations, artwork, copy or information; and (2) any
and all other human readable audio and/or visual elements, regardless of the
form or format, accessible via the Services, Site or Features. Any and all underlying patentable or
copyrightable elements (or elements protectable as trade secrets or otherwise
under intellectual property laws) related to the Services, Site, Content and/or
Features, including without limitation, source code, script, object code,
software, protocols, algorithms, computer programs, data and other sets of
statements and instructions contained in the Services, Sites, Content and/or
Features will be considered the property of Starz (“Starz IP”).
(b) STARZ,
ENCORE, MOVIEPLEX and all related registered and unregistered trademarks and service
marks (“Starz Marks”) are the
property of Starz Entertainment, LLC.
Certain characters, logos, names and images incorporated by Starz
Entertainment, LLC on the Services, Sites, Content and Features are also
protected as registered or unregistered trademarks, trade names and/or service
marks and are the property of their respective owners. The Starz Marks may not be used without
the express written permission of Starz.
4. REGISTRATION; USER ACCOUNTS. In order to
use the Services, you will be required to create a User Account. You may only open a User Account for
yourself, and not for any other person.
A User Account can only be established by consumers
that meet the Access Requirements.
You warrant that the information you provide during registration for a
User Account, and any other communications with Starz and/or in connection with
the Services for any reason, is true, correct,
complete, and current and you agree to update such information as necessary so
that it remains current, accurate, and complete. You are responsible for all
activity occurring under your User Account and for maintaining the
confidentiality of your User Account information. You agree that you will: (1)
immediately notify Starz of any unauthorized use of your User Account; and (2)
not allow any third party to use your User Account. Starz will have no
liability for any loss or damage arising from use or misuse of your User Account
or your failure to comply with these requirements. Starz, its affiliates and its third
party licensors cannot and will not be liable for any loss or damage arising
from any failure on the part of any person to comply with these
obligations. The Services, Sites
and/or Features may provide you with the opportunity to connect and/or link
your User Account to certain third party social media sites ("Social Media Sites"). If you choose to connect or link your
User Account to any Social Media Site via the Services, Sites or Features you
consent to the release of information about you to others, including to the
Social Media Site(s). If you do not
want information about you to be shared in this manner, do not connect or link
your User Account to any Social Media Site(s).
5.
CONTENT;
PARENTAL CONTROLS. MOST CONTENT
AVAILABLE ON THE SERVICES, SITES AND FEATURES IS RATED ACCORDING TO GUIDELINES
ESTABLISHED BY THE MOTION PICTURE ASSOCIATION OF AMERICA (I.E., G, PG, PG-13,
R) OR
TELEVISION RATINGS/CONTENT ADVISORIES. HOWEVER, SOME CONTENT MAY NOT BE RATED,
AND MAY CONTAIN GRAPHIC VIOLENCE, SEXUAL CONTENT AND MATURE THEMES. SUCH CONTENT MAY NOT BE SUITABLE FOR ALL
VIEWERS.
Parental controls (“Parental Controls”) for the Services
may be accessed in one of the two following ways as determined by your
Distributor: (1) if your Distributor passes through your Parental Control
settings as part of the authentication process for the Services, Parental
Controls and any modifications thereto must be managed via your Distributor; or
(2) if your Distributor does not pass through Parental Controls via the
authentication process for the Services you will be able to establish Parental
Control settings during the User Account creation process or by accessing the
My Account feature of the Service. If
you access any adult or mature content on the Services, you acknowledge and
agree that you may be exposed to visual images and sounds that depict nudity
and sexual activity or are otherwise sexual, erotic or graphic in nature and
may include violence
and adult language. You agree to
the following, irrespective of whether or not the Services include Parental
Control functions, and irrespective of the extent to which you use such
Parental Control functions: (1) it is your responsibility to determine which
Content meets your standards; and (2) under no circumstances will Starz or its
Content providers be liable in any way for any Content that you have access to
during use of the Services, including, without limitation, any errors or
omissions in any Content, quality of the Content, availability of the Content,
the subject matter of the Content or any loss or damage of any kind incurred as
a result of your use of the Content; and (3) you acknowledge and agree that any
adult-oriented material you access is being retrieved from a location where it

FOR INDIVIDUALS UNDER THE AGE OF 13.

will forever be the property of Starz. Starz will not be required to treat any

not incur any liability as a result of any similarities between your Submission

Starz will have exclusive ownership of all present and future existing rights

compensation to you or any other person sending the Submission. You acknowledge

circumstances which permitted such unauthorized access. You will keep confidential
all information you receive concerning another individual or entity, will not
use such information, will return such information to Starz immediately, will
not transmit it to any other person or entity and will not reproduce or
distribute it in any electronic or other form.
10. REPRESENTATIONS
AND WARRANTIES. By accessing or using the Services,
Sites or Features
you represent and warrant that: (a) you are a resident of the Service Area; (b)
that you are a subscriber through a Distributer of: (i)
STARZ (with respect to STARZ Play); (ii) ENCORE (with respect to ENCORE Play);
or (iii) MOVIEPLEX (with respect to
MOVIEPLEX Play); and (c) that you have legal capacity to enter into this agreement
(i.e., that you are at least eighteen (18) years old or of sufficient age to be
considered an adult in your state of residence and possess sufficient mental
capacity and are otherwise entitled to be legally bound in contract). You further
represent and warrant that you have read and agree to abide and be bound by the
Terms of Use.
11. FORWARD LOOKING STATEMENTS. The Services, Sites
or Features may contain forward-looking statements regarding Starz's business,
customers, partners, future products and services or other factors that may
affect future earnings or financial results. Such statements involve risks and
uncertainties, which could cause actual results to vary materially from those
expressed in or indicated by the forward-looking statements. Examples of these
risks include delays in development, competitive service and product offerings,
and lack of market acceptance.
12. EXPORT
RESTRICTIONS. You
agree that you will comply with all applicable export laws, restrictions and
regulations of the U.S. Department of Commerce, the U.S. Department of Treasury
and any other U.S. or foreign agency or authority. You agree not to export or
re-export, or allow the export or re-export of the Services in violation of any
such law, restriction or regulation.
13. LINKS
TO AND FROM THIRD PARTY SITES.
(a) The
Services, Sites, Content and Features contain or may contain links to other internet sites, including without limitation social media
sites. Starz does not verify,
warrant, endorse or take responsibility for the availability, accuracy,
completeness, quality, practices or policies of such sites or content available
from such sites. Starz does not
make any representations or warranties as to the security of any information
(including, without limitation, credit card and other personal information) you
might be requested to give any third party, and you irrevocably waive any claim
against us with respect to such sites.
(b) Access
to the Services through any third party service is subject to the rules,
policies and guidelines of such third party service.
(c) You
are not permitted to link to the Services, Sites, Content or Features from any
third-party site without the prior written permission of Starz.
14. ASSIGNMENT.
You may not assign
your rights and obligations under the Terms of Use for any reason. Starz may assign its rights and
obligations under the Terms of Use at any time.

TERMINATION. You may terminate your use of the
Services, Sites and Features at any time.
Your right to use the Services, Sites, Content and Features will
automatically terminate if you fail to comply with any provision of the Terms
of Use and Starz reserves the right to cancel, terminate or restrict your

reasonable settlements and expenses (including without limitation reasonable
attorneys’ fees and court costs) to the extent arising out of or attributable
to your breach of any of the provisions, representations or warranties set
forth in the Terms of Use, and/or from your placement or transmission of any
content onto the Services' servers, and/or from any and all use of your User
Account in violation of the Terms of Use or the failure to fulfill any
obligations relating to your User Account incurred by you or any other person
using your User Account. We reserve the right to take over the exclusive
defense of any claim for which we are entitled to indemnification under this

Force Majeure. Starz will not have
any liability to you for any delay or non-performance of its obligations under
the Terms of Use, to the extent that such delay or non-performance is
attributable to an event of Event of Force Majeure (as hereinafter
defined). For the purposes of the Terms
of Use, “Event of Force Majeure” will mean an act of God, labor dispute, or
failure of facilities, networks, equipment or software, or any similar event,
to the extent that such event is beyond the reasonable control of Starz.

MODIFICATIONS TO THE TERMS OF USE. Starz reserves the right, at its sole
discretion, to change, modify, discontinue, enhance, add or remove any portion

22. MISCELLANEOUS.
These Terms of Use
set forth the nature and extent of your relationship with Starz as it pertains
to the Services, Sites, Content and Features. The Terms of Use are binding upon and
inure to the benefit of Starz and you, and Starz’s successors and assigns, if
any. If any provision of the Terms of Use are
determined to be invalid or unenforceable, such determination will not affect
the validity or enforceability of any other provision of the Terms of Use. Any
waiver of any breach or failure to enforce any provision of the Terms of Use
will not be deemed a future waiver of such term or a waiver of any other
provision. Any waiver of any provision of the Terms of Use will be effective
only if it is in writing and signed by Starz and you. Nothing contained in the
Terms of Use will constitute, or enable the development of a joint venture,
partnership or any other employee/employer or independent contractor relationship
or any other commercial relationship (except as seller and customer) between
you and Starz. The Terms of Use will
be governed by the laws of the United States and the State of Colorado,
irrespective of Colorado's conflict or choice of law rules. Any action brought
by you arising out of or relating to the Terms of Use may be brought
exclusively in the appropriate state or federal court in Denver, Colorado, and
you irrevocably consent to the jurisdiction of such courts and venue in Denver,
Colorado. Any cause of action or claim you may have must be commenced within
one (1) year after such claim or cause of action arises. You waive your rights
to a jury trial in any proceeding with Starz or its parents, subsidiaries,
affiliates, partners, respective service providers, suppliers and/or licensors and
each of their respective officers, directors, shareholders and employees.
The provisions of the
Terms of Use, which by their nature should survive expiration or termination of
the Terms of Use, will survive such termination. You agree that your use of the Services,
Sites, Content and Features enables you to enter into agreements and/or to make
purchases electronically. You acknowledge and agree that your electronic
submissions constitute your agreement and intent to be bound by any such
agreements and/or purchases, including without limitation all transactions you
enter into in connection with the Services, Sites, Content and Features.

IMPORTANT! PLEASE READ THIS PRIVACY POLICY (“PRIVACY POLICY”) CAREFULLY. THIS PRIVACY POLICY APPLIES TO YOUR USE OF STARZ ENTERTAINMENT, LLC’S (“STARZ,” “US” or “WE”): (1) STARZ Play, ENCORE Play AND MOVIEPLEX Play SERVICES (“SERVICES”); (2) WEBSITES LOCATED AT STARZPLAY.COM, ENCOREPLAY.COM AND MOVIEPLEX.COM ASSOCIATED WITH THE SERVICES (“SITES”); AND (3) interactive features or downloads that are MADE available through OR INTERACT WITH the Services OR SITES (“FEATURES”). Starz is committed to helping users of its Services, Sites and Features understand the information that Starz collects, how Starz uses that information, the choices users have about the way their information is used, and the precautions Starz takes to protect information concerning its users. This Privacy Policy applies specifically to the Services, Sites and Features only, and covers information collected on or through the Services, Sites and Features. When using other Starz web sites, we encourage you to review the privacy policy controlling that particular site.
1. Information We Collect.
a. Personally Identifiable Information. Starz collects personally identifiable information that you voluntarily submit in various contexts including, but not limited to: (1) the registration or account creation process for the Services; (2) the registration process for sweepstakes, contests, Features and other promotions offered via the Services and Sites; (3) your participation in online research surveys offered on the Services, Sites and Features; (4) the process of reporting a problem with our Services, Sites and Features and resolving customer service activities (including via email and chat), and (5) in connection with content submissions, voting and polling activities. Such personally identifiable information may include, without limitation, name, date of birth, e-mail address, mailing address and telephone number.
This Privacy Policy does not apply to any personally identifiable information you may disclose in public areas of the Services, Sites and Features. When you voluntarily post information in public areas of the Services, Sites and Features, that information can be collected and used by third parties. Starz assumes no responsibility for any action or policies of any third parties who collect information that users disclose on public areas of the Services, Sites and Features.
b. Non-personally Identifiable Information.
(i) Usage Information. When you visit the Services, Sites and Features, Starz may also collect non-personally identifiable information. Starz may automatically collect information that describes how you use the Services, Sites and Features and the technology you are using to access the Services, Sites and Features (“Usage Information”). Additionally, we may collect your IP address or device identifier (“Device ID”). A Device ID is a unique number assigned to the device(s) or network you use to access the Services, Sites and Features. If we associate Usage Information with your Device ID we will treat such information as personally identifiable information.
(ii) Cookies. Cookies are small information files that our Services, Sites and Features may place on your computer or other device. Cookies by themselves do not provide Starz with personally identifiable information. However, once you choose to furnish us with personally identifiable information, this information may be linked to the data stored in a cookie. In many instances you can turn off cookies in your web browser (see your browser’s manual or help file for instructions), but if you do turn off cookies you may not be able to access parts of the Services, Sites and Features where cookies are used.
(iii) Embedded Scripts/Web Beacons. An embedded script is programming code used to collect information about how you interact with the Services, Sites and Features. The embedded script is temporarily downloaded onto your device from a Starz or third party web server and is active only while you are connected to the Services, Sites and Features. A web beacon is a small graphic image or programming code that may be included in our web pages and e-mail messages.
2. How We Use the Information We Collect.
a. Personally Identifiable Information. We use the personally identifiable you give us to deliver information or content you request, to contact you about the Services, Sites and Features, or for other purposes explained at the time we collect the information. Additionally, we use personally identifiable information to, among other things: (1) verify access rights to the Services, Sites and Features; (2) verifying the status of your User Account (as defined in the Terms of Use for the Services and Sites); (3) improve the Services, Sites and Features by providing personalized content, language and location customization and/or personalized help and instructions; (4) provide customer service assistance; (5) ask you to participate in surveys about products, services, news and events; (6) provide you with news, newsletters, updates, targeted advertising, promotions, sweepstakes and special offers; (7) better understand how the Services, Sites and Features are used, including traffic patterns and what types of content are most popular with users; (8) in connection with content submissions, community postings (e.g., chat and bulletin boards), and voting and polling activities.
b. Non-personally Identifiable Information. We use Device IDs, Usage Information, cookies and web beacons for a variety of internal purposes, such as system administration and counting visitors, tracking views, email “opens” and monitoring how users navigate the Services, Sites and Features.
Starz may disclose personally identifiable information and non-personally identifiable information to distributors, contractors and third party agents we engage to provide services for Starz. Such entities and individuals are required to protect your personally identifiable information in a manner that is consistent with this Privacy Policy and to not use such personal information for any purpose other than to carry out the services they are performing for Starz.
Starz may disclose your personally identifiable information and non-personally identifiable information to any successor or to any person or entity that acquires ownership or control of the Services, Sites and Features by any means. You hereby consent to the disclosure to, and use by, any such successor or subsequent owner or operator, and your continued use of the Services, Sites and Features signifies your agreement to be bound by such successor's or subsequent owner or operator's own privacy policy. Starz is not responsible for any changes or modifications to this Privacy Policy by any successor or subsequent owner or operator of the Services, Sites and Features.
Starz may also disclose your personally identifiable information to third parties in any of the following instances: 1) we have been given your consent to disclose; 2) we have previously informed you of the disclosure, including by means of our Privacy Policy; 3) we are required by law or court order to disclose, or we believe in good faith that the law requires it; 4) disclosure is necessary to identify, contact, or bring legal action against, someone who may cause or be causing harm to, or interference with, our rights or property, other users of the Services, Sites and Features, or anyone else; or 5) to respond to an inquiry, request or complaint that you have made. We may also use IP addresses in cooperation with Internet service providers to identify users if we deem it necessary to comply with laws, to enforce compliance with the Privacy Policy.
3. How To Update Your Personal Information. We will use reasonable efforts to allow you to update or correct personally identifiable information, to the extent that changing the data will not compromise privacy or security interests. Also, upon your request, we will use commercially reasonable efforts to functionally delete your personally identifiable information from our database. However, it may be impossible to delete all of your information without some residual data because of backups and records of deletions. You can access and update the personally identifiable information that you have provided in connection with the Services, Sites and Features by visiting the My Account tool available within the Services. To help protect your privacy and security, we will take reasonable steps to verify your identity before granting access or making corrections to any personally identifiable information.
4. EMAIL OPT-OUT. If at any time you wish to opt out or “unsubscribe” from receiving commercial emails related to the Services, Sites and Features you may: (a) use the unsubscribe link at the bottom of each commercial e-mail you receive; or (b) visit the My Account tool available within the Services to opt out of receiving commercial e-mails and to update your email preferences. Please remember that: (1) even if you opt out of receiving commercial emails from Starz, we reserve the right to send transactional or relationship communications to you (e.g., if we need to contact you regarding your account status, technical support, product information, changes to the terms of use for the Services, Sites and Features or this Privacy Policy, and any other matter that might affect our service to you and/or our records on you); and (2) certain information or services can only be provided to you if personal information is provided. If you elect not to provide such information or opt out of having your information shared, you may not be able to receive certain content or information.
5. Policies for Individuals Under the Age of 13. Starz does not knowingly collect or use any personally identifiable information submitted to the Service, Sites and/or Features from individuals under the age of 13, except in order to respond on a one-time basis to a specific request for information. If you are a parent or guardian who has discovered that your child under the age of 13 has submitted his or her personally identifiable information without your permission or consent, you can ask us to remove your child’s information by contacting us at business.affairs@starz.com. Upon notice from you, Starz will make reasonable efforts to investigate and remove the information. Please include in your message the same user name and/or e-mail address and password that your child submitted.
6. Links to Other Sites. Starz may from time to time offer links to other sites from the Services, Sites and Features, including the sites of our distributors and sites that are sponsored by or co-branded with third parties. These third parties may have information practices that are different than ours. We recommend that you review such site’s terms of use and privacy policy prior to use or submitting any personally identifiable information. Starz does not verify, warrant, endorse or take responsibility for the availability, accuracy, completeness, quality, practices or policies of such sites or content available from such sites. Starz does not make any representations or warranties as to the security of any information (including, without limitation, credit card and other personal information) you might be requested to give any third party, and you irrevocably waive any claim against us with respect to such sites.
7. Starz Security Policy. Starz is aware of your privacy concerns and strives to collect only as much data as is required to make your use of the Services, Sites and Features as efficient and satisfying as possible, in the most unobtrusive manner as possible. We will make reasonable efforts to ensure that whatever information you provide will be maintained in a secure environment. Unfortunately, no data transmission over the Internet can be guaranteed to be 100% secure. As a result, while we strive to protect your personally identifiable information, we cannot guarantee the security of any information you transmit to us or from our products or services, and you provide such information at your own risk.
8. Consent to Processing in the United States. By providing any personally identifiable information to Starz, all users, including, without limitation, users in the member states of the European Union, fully understand and unambiguously consent to this Privacy Policy and to the collection and processing of such information in the United States of America.
9. Notification of Changes. Starz reserves the right, at its sole discretion, to change, modify, discontinue, enhance, add or remove any portion of the Privacy Policy, in whole or in part, at any time. Changes to the Privacy Policy will be effective when posted. You agree to periodically review the Privacy Policy so that you are aware of any changes. Your continued use of the Services, Sites, Content (as defined in the Terms of Use for the Services and Sites) and Features in any way after any changes are made or posted will be considered acceptance of those changes and will constitute your agreement to be bound thereby.
10. REPRESENTATIONS AND WARRANTIES. By accessing or using the Services, Sites or Features you represent and warrant that: (a) you are a resident of the Service Area; (b) that you are a subscriber through a Distributer of: (i) STARZ (with respect to STARZ Play); (ii) ENCORE (with respect to ENCORE Play); or (iii) MOVIEPLEX (with respect to MOVIEPLEX Play); and (c) that you have legal capacity to enter into this agreement (i.e., that you are at least eighteen (18) years old or of sufficient age to be considered an adult in your state of residence and possess sufficient mental capacity and are otherwise entitled to be legally bound in contract). You further represent and warrant that you have read and agree to abide and be bound by the Privacy Policy.
11. ASSIGNMENT. You may not assign your rights and obligations under the Privacy Policy for any reason. Starz may assign its rights and obligations under the Privacy Policy at any time.
12. TERMINATION. Your right to use the Services, Sites, Content and Features will automatically terminate if you fail to comply with any provision of the Privacy Policy.
13. LIMITATION OF LIABILITY. UNDER NO CIRCUMSTANCES, INCLUDING NEGLIGENCE, WILL STARZ, ITS PARENTS, SUBSIDIATIES, AFFILIATES, PARTNERS, EMPLOYEES, AGENTS, SERVICE PROVIDERS, THIRD PARTY INFORMATION PROVIDERS, LICENSORS, each of their respective officers, directors, shareholders and employees, OR ANYONE ELSE INVOLVED IN CREATING, PRODUCING OR DISTRIBUTING THE SERVICES, SITES, CONTENT OR FEATURES BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, EXEMPLARY, ECONOMIC, PUNITIVE, LOST PROFIT, SPECIAL OR CONSEQUENTIAL DAMAGES OR FOR ANY DAMAGES THAT RESULT FROM OR ARE RELATED TO THE COLLECTION OR USE OF INFORMATION FROM YOU IN CONNECTION WITH YOUR USE OF THE SERVICES, SITES, CONTENT OR FEATURES; OR THAT RESULT FROM MISTAKES, OMISSIONS, INTERRUPTIONS, DELETION OF FILES, ERRORS, DEFECTS, DELAYS IN OPERATION, OR TRANSMISSION, OR ANY FAILURE OF PERFORMANCE, WHETHER OR NOT LIMITED TO AN EVENT OF FORCE MAJEURE. THE ABOVE LIMITATIONS OF LIABLITY WILL APPLY TO YOU ONLY TO THE EXTENT PERMITTED BY APPLICABLE LAW.
14. INDEMNIFICATION. You agree to indemnify and hold harmless Starz, its parents, subsidiaries, affiliates, partners, agents, service providers, third party information providers and licensors and each of their respective officers, directors, shareholders and employees against and from any and all liabilities, claims, costs, damages, reasonable settlements and expenses (including without limitation reasonable attorneys’ fees and court costs) to the extent arising out of or attributable to your breach of any of the provisions, representations or warranties set forth in the Privacy Policy. We reserve the right to take over the exclusive defense of any claim for which we are entitled to indemnification under this Section.
15. Force Majeure. Starz will not have any liability to you for any delay or non-performance of its obligations under the Privacy Policy, to the extent that such delay or non-performance is attributable to an event of Event of Force Majeure (as hereinafter defined). For the purposes of the Terms of Use, “Event of Force Majeure” will mean an act of God, labor dispute, or failure of facilities, networks, equipment or software, or any similar event, to the extent that such event is beyond the reasonable control of Starz.
